SEC of Thailand to Adjust ICO Requirements
Thailand is making significant headway in the cryptocurrency regulation landscape. The Thai Securities and Exchange Commission (SEC) has unveiled a proposal aimed at modifying regulations surrounding Initial Coin Offerings (ICOs). This move primarily seeks to reduce the burden on investors and platforms while aligning with international standards.
Simplifying Investor Participation
A key change in these proposed regulations is the removal of mandatory quarterly retesting for investors who have already completed initial knowledge tests. This adjustment significantly eases market participation for regular investors who previously had to undergo testing every quarter before each token investment.
In contrast, the new rules introduce a mandatory “suitability test” for all retail investors in digital tokens, regardless of their experience. This assessment will help determine if an investor’s risk profile matches the product’s inherent risks. Notably, these tests must be updated at least every two years, replacing the previous three-month requirement.
“This proposal aims to lessen the burden on both ICO portals and investors by eliminating the necessity for quarterly assessments,” stated the regulator.

Jagdish Pandya, founder of Blockon Ventures and organizer of Thai Blockchain Week 2019, commented on this development. He emphasized that these proposed knowledge and suitability tests could prevent amateur investors from diving blindly into ICOs and repeating mistakes from fraudulent token sales.
Pandya further noted that Thailand is ahead of other regional countries in crypto-market regulation: “Their ICO platform allows legal fundraising—an approach that even surpasses countries like UAE or Hong Kong.”
Under the updated guidelines, institutional and professional investors are exempt from such tests. This ensures a balance between liberalizing conditions for seasoned market participants and safeguarding less experienced retail contributors.
Ongoing Public Consultations
The public discussion period for these new rules will extend until August 1, 2025. The SEC encourages stakeholders to submit feedback that could influence final regulatory decisions.
Beyond ICOs, June saw Thailand’s SEC initiate consultations regarding exchanges listing their own tokens under enhanced transparency measures to prevent insider trading. Additionally, Thailand is piloting programs for crypto payments in tourist regions and contemplating giving retail investors access to spot Bitcoin ETFs.
