TeraWulf Raises $900 Million for Texas Data Center Expansion

TeraWulf has announced the expansion of its private offering of convertible bonds maturing in 2032 to $900 million. This substantial fundraising effort is aimed at constructing a data center campus in Abernathy, Texas, as well as supporting general corporate objectives. Initially, TeraWulf planned to raise $350 million. Early investors were provided with a 13-day option to purchase additional bonds worth up to $125 million. These securities come with a conversion premium of 37.5% relative to the stock’s closing price at issuance, setting an initial conversion price at $19.9 per share.

Strategic Focus on AI and High-Performance Computing

TeraWulf is among the bitcoin miners redirecting their operations towards data centers for artificial intelligence (AI) and high-performance computing (HPC). According to JPMorgan, public cryptocurrency mining companies are increasingly valued based on their AI infrastructure and computing margins rather than solely on digital asset prices.

Industry-Wide Shift

Other industry players are also making significant investments in AI infrastructure. For instance, Core Scientific has inked an agreement with CoreWeave for acquiring 200 MW of capacity. Notably, by July 2025, it was revealed that the startup plans to acquire this miner for $9 billion.
In addition, Bitdeer is developing its own AI solutions; CleanSpark is planning data centers focusing on AI; Iris Energy is expanding cloud GPU services for AI-based technologies.

Innovative Financial Strategies

Meanwhile, bitcoin miner MARA is utilizing zero-coupon convertible bonds for asset purchases and debt restructuring. The company maintains its focus on cryptocurrency and corporate treasury functions.
TeraWulf previously announced a joint venture with Fluidstack valued at $9.5 billion related to hosting computations for AI. The expansion of the bond offering strengthens the company’s strategy towards developing AI infrastructure and accelerating business growth.
The state of New York had earlier proposed imposing a tax on mining activities due to increasing energy consumption—an indication of shifting regulatory landscapes within which these companies operate.
This strategic pivot by TeraWulf and its industry peers signifies an evolution in how traditional bitcoin miners are adapting their models amidst growing technological demands and regulatory changes. Their investments not only reflect confidence in emerging technologies but also hint at potential transformations within the crypto market landscape—a trend worth watching closely by investors and stakeholders alike.
