The STRD shares present a compelling investment opportunity by combining high yields with exposure to Strategy’s Bitcoin-oriented approach. Dividends on these shares are not mandatory but will be disbursed quarterly starting September 30, 2025, if declared by the board.

Strategic Financial Instrument

The nominal or liquidation value of each STRD share stands at $100 and can be adjusted daily according to market prices. Notably, Strategy retains the right to redeem all issued STRD shares for cash under specific conditions such as tax events or if less than 25% of the original quantity remains outstanding.
Investors will also have options in case of any “fundamental change,” allowing them to request redemption of their shares.

Barclays, Morgan Stanley, Moelis & Company, and TD Securities are leading this issuance as joint managers. They are joined by co-managers including Benchmark Company, Clear Street, AmeriVet Securities, Bancroft Capital, Keefe Bruyette & Woods, and BTIG.
