Strategy’s Bold Move to Slash Debt through Bond Repurchase

In a significant financial maneuver, Strategy has announced its intention to repurchase convertible bonds maturing in 2029, amounting to roughly $1.5 billion. This strategic decision is designed to alleviate nearly half of the outstanding debt associated with this bond issue. According to documents filed with the U.S. Securities and Exchange Commission (SEC), Strategy has entered private agreements with holders of senior convertible bonds featuring a zero percent coupon rate, agreeing to buy back approximately $1.38 billion worth of these securities.

Funding Sources: Cash Reserves and Cryptocurrency

The completion of this transaction is anticipated by May 19, 2026, although the final amount could fluctuate based on market conditions. To fund this substantial buyback, Strategy plans to leverage its existing cash reserves as well as proceeds from selling securities under a market placement program and potential Bitcoin sales.

Reducing Debt Burden While Managing Equity Dilution

Strategy’s convertible bonds do not entail interest payments; however, holders can convert their bonds into company shares. Co-founder Michael Saylor has previously indicated that the company intends to gradually shift its debt obligations into equity over the coming years. This approach not only reduces debt load but also introduces the challenge of equity dilution among existing shareholders due to new share issuances.

Impressive Bitcoin Reserves Bolster Financial Strategies

Currently, Strategy’s total outstanding debt stands at about $8.2 billion. Notably, recent acquisitions of Bitcoin have been largely financed through perpetual preferred shares labeled STRC. On May 14, trading volume for STRC reached an unprecedented $1.5 billion, signaling robust investor interest according to experts.
As part of its ongoing investment strategy, Strategy purchased an additional 535 BTC on May 11, valued at around $43 million at that time. Consequently, the company’s total Bitcoin reserves have soared to an impressive 818,869 BTC—worth an estimated $64 billion based on current valuations.
