SEC Simplifies Crypto-ETF Registration Process Following Shutdown

The Securities and Exchange Commission (SEC) has unveiled new guidelines that simplify the registration process for cryptocurrency Exchange-Traded Funds (ETFs). This development comes as a response to the backlog of over 900 applications that accumulated during the recent U.S. government shutdown, which lasted from October 1 to November 12 and was the longest in U.S. history.

Unlocking Crypto-ETF Potential

Bloomberg analyst Eric Balchunas highlighted these new SEC clarifications, which allow issuers to accelerate their filings by meeting specific technical requirements. This move is expected to clear a path for many crypto ETFs that were stalled due to procedural delays.
According to Balchunas, “Some of those crypto ETFs that didn’t do the 8a thing will try and push out as soon as they can.” He predicts Bitwise XRP might be next in line.

Understanding the New SEC Guidelines

The SEC’s new document outlines how it will handle applications submitted during its operational pause:
– If an issuer removed the deferral position or submitted a new form without it during the shutdown, registration will automatically become effective in 20 days under rule 8(a).
– The SEC will not require further action even if information was omitted under rule 430A.
– Companies seeking faster effectiveness can request acceleration according to rule 461.
– Forms submitted during the shutdown will be processed sequentially, with post-effective amendments declared effective automatically unless issuers request otherwise.
These changes provide a more efficient route for cryptocurrency ETFs delayed by SEC’s temporary closure.

Immediate Impact on Cryptocurrency Funds

The prolonged shutdown delayed several crypto fund launches planned for October. However, issuers have begun leveraging automatic approval mechanisms—allowing updated S-1 forms without amendment deferrals to take effect after 20 days if unopposed by SEC—which facilitated market entry for multiple funds in November.
Notably, on November 13th, Nasdaq approved another product—a spot XRP ETF from Canary Capital—using this automatic approval mechanism. This strategic clarification has thus revitalized opportunities within the crypto sector.
In summary, these streamlined SEC procedures are set to invigorate cryptocurrency markets significantly by reducing bureaucratic hurdles and accelerating fund launches. As more firms navigate this expedited pathway successfully, we anticipate an enriched landscape of investment options within digital assets.
