Gemini Increases Share Price Ahead of Nasdaq Debut

In a significant move for the cryptocurrency exchange market, Gemini Space Station, Inc., co-founded by the Winklevoss twins, has updated its initial public offering (IPO) strategy. The firm has set a new share price of $28 for its debut on the Nasdaq Global Select Market. This strategic adjustment is expected to secure $425 million in funding, positioning the company’s valuation at more than $3 billion.
Originally, Gemini had set their share price range between $17 and $19. However, as market conditions evolved, they increased this range first to $24-$26 before settling on the current figure of $28. Alongside this adjustment in pricing, Gemini also revised its share issuance structure.

Strategic Share Issuance Adjustments

The IPO will see 15,178,572 shares offered with an additional 758,929 shares reserved for a 30-day option. The underwriting is managed by top-tier financial institutions including Goldman Sachs & Co. LLC, Citigroup, Morgan Stanley and Cantor.
Furthermore, Gemini has reserved up to 10% of shares for insiders and loyal users while allocating up to 30% for retail investors through platforms like Robinhood, SoFi and Webull. This approach not only diversifies investor participation but also enhances access for smaller stakeholders interested in entering the crypto exchange market.

Winklevoss Twins Retain Majority Control

According to Bloomberg, Tyler and Cameron Winklevoss were major stakeholders prior to this public offering and are expected to maintain control of approximately 94.5% post-IPO. This retention ensures that foundational leadership remains strong as Gemini integrates into public markets.

Navigating Regulatory Challenges

Despite these advances in going public, Gemini’s journey hasn’t been without hurdles. A political issue looms with Brian Quintenz’s accusations against one of the brothers allegedly blocking his appointment as head of the Commodity Futures Trading Commission (CFTC). Such challenges highlight ongoing regulatory complexities within the crypto space that firms like Gemini must navigate carefully.
