FTX Auditor Prager Metis to Pay SEC $1.95 Million Fine

The accounting firm Prager Metis has reached a settlement with the U.S. Securities and Exchange Commission (SEC) over two significant disputes. The firm will pay a total fine of $1.95 million for multiple violations in its business conduct. This development highlights key issues in the cryptocurrency auditing space, particularly concerning the now-defunct FTX exchange.

Details of the Settlement

Prager Metis will pay $745,000 to resolve allegations of negligence in auditing the collapsed cryptocurrency exchange FTX. The firm audited FTX, a project of entrepreneur Sam Bankman-Fried, in 2021 and 2022, failing to identify any issues. Bankman-Fried has since been sentenced to 25 years in prison.
The SEC highlighted that Prager Metis hastily accepted FTX as a client, assembling a team that lacked the necessary competence, experience, and knowledge for an adequate audit. This initial failure led to a series of further audit mistakes.

Additional Penalties

In addition to the FTX-related fine, Prager Metis will pay $1.2 million for violations of auditor independence rules between 2017 and 2020. During this period, the firm audited over 200 companies. The SEC considers that Prager Metis committed negligent fraud and errors, causing significant issues for the U.S. financial system.

Corrective Measures

Prager Metis has agreed to a permanent judicial injunction and restrictions on attracting new clients. The firm is also required to adopt corrective measures, including hiring an independent consultant to review and assess its audit and quality control policies.
The SEC’s Director of Enforcement, Gurbir S. Grewal, emphasized that these actions not only enhance investor protection but also serve as a warning to auditors who fail to meet their oversight responsibilities.
