MicroStrategy to Raise $700 Million via Bond Issuance

MicroStrategy, a prominent technology firm, has announced plans to raise $700 million through the issuance of bonds set to mature in 2028. According to the company’s statement, the funds will be allocated to purchasing Bitcoin and repaying $500 million in debt.

Strategic Financial Moves

This marks MicroStrategy’s third bond issuance in 2024. The offering is exclusively available to qualified institutional buyers. The convertible senior bonds will be unsecured, with payments commencing in March 2025 and full repayment over the next three years. The company has stated that the initial conversion price of the bonds will be determined by the volume-weighted average composite price of MicroStrategy’s Class A common stock in the U.S. on the pricing date.

Debt Repayment and Unlocked Bitcoin Holdings

A significant portion of the raised capital will be utilized to repay MicroStrategy’s existing senior secured bonds, which carry a 6.125% interest rate and mature in 2028. Following the debt repayment, the company expects to unlock approximately 69,080 BTC.

Continued Bitcoin Acquisition

The remaining funds after debt repayment will be directed towards purchasing Bitcoin, with some capital also allocated for corporate expenses. As of now, MicroStrategy holds 244,800 BTC valued at $14.3 billion. Between August 6 and September 12, 2024, the company acquired 18,300 BTC at an average price of $60,408 each, totaling $1.11 billion.

Institutional Investment

In August 2024, it was reported that South Korea’s National Pension Service invested $33.7 million in MicroStrategy securities, reflecting growing institutional interest in the company’s strategic moves and cryptocurrency holdings.
MicroStrategy’s co-founder Michael Saylor has previously highlighted the company’s growth, comparing its trajectory to that of Nvidia, a leading technology corporation. This latest bond issuance underscores MicroStrategy’s commitment to leveraging Bitcoin as a critical component of its corporate strategy.
