SEC Closes Investigation into BUSD and Paxos

In a significant development for the cryptocurrency community, the U.S. Securities and Exchange Commission (SEC) has officially concluded its investigation into Paxos, the issuer of the Binance USD (BUSD) stablecoin. The regulatory body announced that it will not recommend enforcement actions against the company.
This decision marks a pivotal moment in the ongoing scrutiny of stablecoins and their compliance with U.S. securities laws. The SEC’s investigation initially began in February 2023, alongside the New York Department of Financial Services (NYDFS). Both agencies had declared that BUSD should be classified as a security, which prompted a thorough review of Paxos’ operations.

NYDFS and SEC’s Initial Findings

The NYDFS not only classified BUSD as a security but also ordered Paxos to cease its issuance. Paxos complied, halting all transactions involving the stablecoin. Despite receiving a “Wells Notice” from the SEC—which typically precedes legal action—Paxos maintained that BUSD is a commodity, not a security, and expressed readiness to defend its position in court.

Binance’s Settlement and Regulatory Compliance

In parallel developments, Binance faced its own set of challenges. The SEC charged the cryptocurrency exchange with multiple violations, including the failure to register BUSD as a security. Binance opted for a settlement, agreeing to pay a hefty $4.3 billion fine. This settlement also led to significant changes within the company, including the resignation of its CEO, Changpeng Zhao. Binance officially delisted BUSD on December 15, 2023.

Paxos’ Continued Operations and Market Impact

Despite regulatory hurdles, Paxos continued to support BUSD withdrawals and conversions until February of this year. The stablecoin still boasts a market capitalization of $69.5 million, with a 24-hour trading volume surpassing $8 million, according to CoinMarketCap.
Paxos reiterated its stance, asserting that its dollar-backed stablecoins are not securities under federal law. The company expressed pride in its commitment to defending stable-value digital assets and welcomed the SEC’s decision to refrain from enforcement actions.

Leadership Changes and Future Outlook

In a move that underscores its commitment to navigating the complex regulatory landscape, Paxos announced the addition of former CFTC Chairman Christopher Giancarlo to its board of directors. Giancarlo’s extensive experience and deep understanding of the market are expected to be invaluable to Paxos as it continues to innovate and expand its offerings.
Paxos recently announced a 20% workforce reduction, reflecting the company’s strategic adjustments in response to regulatory pressures and market conditions.
