- Anthropic has filed an S-1 registration statement with the SEC for an initial public offering on Nasdaq.
- The company plans to trade under the ticker ANT, but the offering date, number of shares and expected price range remain undetermined.
- Goldman Sachs and Morgan Stanley are leading the proposed offering.
Anthropic said on October 26, 2026, that it had filed an S-1 registration statement with the U.S. Securities and Exchange Commission for an initial public offering. The public filing marks the next step in the Claude AI assistant developer’s preparations to enter the stock market.
Anthropic intends to list its shares on the Nasdaq Global Select Market under the ticker ANT. The offering will include Class A common stock, although the company has not determined the number of shares, expected price range or IPO date.
Offering terms remain pending
Goldman Sachs and Morgan Stanley are leading the offering. A preliminary prospectus will be available through the investment banks after it is published.
Anthropic said the registration statement has not yet become effective. The company cannot sell shares or accept orders to buy them until it completes the legally required process.
The filing follows Anthropic’s submission of a confidential draft S-1 registration statement to the SEC on June 1, 2026.
Timing and valuation unconfirmed
Media outlets previously reported that Anthropic was aiming to hold its IPO as early as November 2026. The Claude developer could seek a valuation of as much as $2 trillion, according to those reports, but the company has not officially confirmed either the timing or its target market capitalization.
Anthropic also plans to expand its computing infrastructure substantially as it prepares for the offering. According to previously published data, the company intends to allocate as much as $518 billion to cloud services, computing capacity and other infrastructure over the coming years.
If the offering is completed, Anthropic will become one of the largest publicly traded companies focused on artificial intelligence development. The final IPO terms will depend on market conditions and will be determined later.
