In a dramatic turn of events, Kathleen Allman, the mother of late Ondo Finance founder Nathan Allman, has filed a lawsuit in Delaware’s Chancery Court. She demands control over the company and seeks to remove Ian de Bode from his positions as CEO and President. This legal challenge stems from allegations that de Bode assumed leadership without proper board approval after Nathan’s unfortunate demise in May 2026.
The lawsuit highlights significant discord regarding governance at one of the prominent Real-World Asset (RWA) issuers, whose ONDO token boasts a market capitalization of $1.7 billion.

Divergent Views on Leadership Transition

Court documents reveal that Kathleen claims Ian de Bode began presenting himself as CEO without appropriate board consent post her son’s passing. At Nathan’s death, the board was dysfunctional with only two seats—one occupied by Nathan and another vacant—resulting in no directors left.
Kathleen asserts her status as executor of Nathan’s estate grants her majority voting power within the company. Although specifics are redacted in public filings, she contends she holds authority to reconstitute the board.
Following her appointment as executor by a Hawaiian court in June, she expanded the board to four members including founder’s sister Taini Towill while another nominee declined due to non-legal reasons. On July 24th, this new board voted to dismiss de Bode from all roles and installed Kathleen as chairperson along with other key positions.
Additionally, she accuses Ondo of withholding shareholder contact lists.

Ian de Bode firmly rejects these accusations branding them baseless; he assures that Ondo continues its operations seamlessly supported by primary investors alongside Ondo Foundation backing.
De Bode emphasizes management’s commitment towards realizing original visions despite ongoing litigation which he believes contradicts corporate interests.
